Investment Banking Associate – (job location is New York, NY; employer is Nomura Securities International, Inc.) – As part of our Private Debt Solutions group, support the origination, structuring and execution of debt and structured equity financing transactions for private equity and corporate clients across a broad set of industries, specifically performing these duties: Analyze and participate in negotiation of legal documentation, including term sheets, commitment letters and credit agreements, specifically around interest rate, fees, maturity, amortization, excess cash flow sweep, covenants, permitted baskets, and call protection by working directly with clients, investors and legal counsels. Build financial models to understand companies’ revenue, operating expenses, interest expenses, tax expenses, working capital trends, capital expenditures schedule and debt schedule, and credit metrics including leverage ratios and coverage ratios. Conduct financial due diligence of companies by reviewing their financial statements, existing debt documents and terms of contracts with customers, and preparing questions for management teams in support of building financial models. Conduct financial, structural, and business analyses as part of lender diligence to assess the appropriate debt level and structures for potential transactions. Generate new proprietary content and ideas for inclusion in pitch materials to win new mandates and present ideas at client meetings. Guide junior analysts in creating discussion materials for client meetings and deliverables for execution of live transactions. Create discussion materials, including pitchbooks, investment memoranda, and management presentations for client meetings and investor marketing. Support the training and mentoring of junior analysts. Requirements: Bachelor’s Degree in Business Administration, Finance, Economics, or Quantitative Finance, plus two years of experience in the position offered or as an investment banking analyst or associate. All of the required experience must have included conducting financial, structural, and business analyses as part of lender diligence to assess the appropriate debt level and structures for potential transactions; conducting financial due diligence of companies by reviewing their financial statements, existing debt documents and terms of contracts with customers, and preparing questions for management teams; liaising with in-house legal counsel and third-party legal counsels to negotiate and execute non-disclosure agreements and non-reliance letters; analyzing and participating in negotiation of legal documentation, including term sheets, commitment letters and credit agreements, specifically around interest rate, fees, maturity, amortization, excess cash flow sweep, covenants, permitted baskets, and call protection; creating discussion materials, including detailed pitchbooks, investment memoranda, and management presentations for client meetings and investor marketing; and conducting conflict checks and sanction screenings on potential clients and coordinating directly with compliance and KYC (know-your-customer) teams.
