Location: Remote (For Non-Local) or Hybrid (Local to New York, NY area) Position Summary We are seeking a skilled experienced attorney to join our legal team to provide assistance and support for a wide range of duties, including but not limited to supporting the Company with mergers and acquisitions, transactions, general contracting support for vendors, or other corporate agreements. In this role, you will work closely with the General Counsel and senior leaders of the Company to provide comprehensive legal guidance and support for corporate transactions, ensuring that all contracts comply with relevant laws and regulations while aligning with the Company's policies, and strategic goals. We are looking for a dedicated M&A Lawyer who excels in legal analysis, strategic thinking, and stakeholder management. The ideal candidate will have a proven track record in handling complex corporate transactions and a deep understanding of corporate law and finance. Position Responsibilities: As an attorney in the Legal Department, you will:
- Contract drafting and negotiation: Draft and negotiate a variety of legal documents for day-to-day operations, and in relations to any Company transaction. Such documents may include letters of intent, vendor agreements, confidentiality agreements, and purchase/sale agreements.
- Due diligence: Conduct legal diligence for any target company to identify potential legal risks, liabilities, and other issues that could impact the deal.
- Deal structuring and advice: Provide strategic advice to the General Counsel and the Company, on the most beneficial structure for a transaction, considering business goals, tax implications, and corporate governance.
- Regulatory compliance: Ensure all transactions comply with relevant laws and regulations, which can include securities, antitrust, and foreign investment laws.
- Transaction management: Manage the end-to-end legal aspects of a transaction, deal, or strategic business relationships, serving as the central point of contact for all parties involved and overseeing the entire process through to closing. Working closely with the Finance team and Corporate Development Team.
Key Tasks and Skills
- Post-merger integration: Assist in the legal and operational integration of the two companies after the deal is complete.
- Risk assessment: Advise clients on legal risks and suggest mitigation strategies.
- Collaboration: Work with a team of professionals, including finance team, corporate development team, accountants, tax advisors, bankers, and other lawyers.
- Communication: Effectively communicate with various stakeholders within the Company, and be a key advisor and confident to the General Counsel. Keep the business team informed and clearly communicate complex legal issues, and provide appropriate solutions to business team. Strong verbal and written communication abilities to articulate legal concepts clearly.
- Strategic thinking: Develop and implement legal strategies that align with the Company's overall business objectives.
- Negotiation: Use strong negotiation skills to navigate complex deals and resolve disputes.
- Attention to Detail: Meticulous attention to detail in drafting and reviewing legal documents.
- Collaboration: Ability to work effectively within the Legal Department, and among diverse teams and stakeholders.

Required Qualifications:
- Juris Doctor (J.D.) from an accredited law school
- Active bar membership in the relevant jurisdiction
- 7+ years of experience in M&A law
- Proven history of high achievement in M&A
- Strong understanding of corporate finance and securities regulations
- Excellent negotiation and communication skills
- Proficiency in legal research and contract drafting
- Effective time management and organizational abilities
