What you will do-

The Corporate Paralegal will be responsible for comprehensive support of all legal matters relating to Aspen's business, including providing support for board of directors and committee meetings, enterprise-wide corporate governance support, SEC filings, legal entity/subsidiary management, law firm and other third party service provider management, contract lifecycle management (including managing and optimizing our current CLM platform), legal budget development and tracking, and other Legal Department support across Aspen's business. Additionally, the ideal candidate for this role will have prior experience with negotiation of commercial (customer and supplier) contracts, with an ability to support the Legal team on issue spotting, risk mitigation, contract redlining, and all aspects of contract management. This position will collaborate with executive management, board members, external advisors and cross-functional teams spanning internal organizations such as Human Resources, Finance, IT, Sales & Marketing, Operations, and other key stakeholder groups. This role is well-suited to a proactive, hands-on, detail-oriented, intellectually curious, business focused, and versatile professional who thrives in a collaborative and fast-paced work environment.

This position will report to the Chief Administrative Officer (or his delegate) and will be based in our Northborough, MA office.

How will you do it-



  • Assist with Board of Directors meeting administration including calendaring, drafting agendas and resolutions, coordinating collection and distribution of presentation materials, responding to audit requests, and all associated recordkeeping (including proficiency in Diligent board platform).
  • Assist with all aspects of legal entity management including maintaining entity organizational charts, registrations, annual reports, licensing, working with appointed agent (CSC), etc. Must be, or be willing to apply to become, a Notary Public.
  • Assist with preparation, review, and submittal of periodic reports filed with the U.S. Securities and Exchange Commission (SEC), including 10-K, 10-Q, and 8-K filings and Forms 3, 4 and 5 for Section 16 reporting compliance.
  • Participate in the planning and coordination of the annual shareholder meeting and associated Proxy material, including communicating and managing information with external counsel, stock transfer agent, proxy solicitor, printer, brokers, stock exchange, and others relating to all aspects of preparation for the annual shareholder meeting.
  • Assist with all aspects of the commercial contracting process, including contract lifecycle management, implementing playbooks and best practices, and analytics and reporting support.
  • Assist with management of vendor relationships with our legal technology services providers (including e-billing, CLM, etc.), as well as law firms and other external advisors. Familiarity with Legal Tracker a plus
  • Coordinate with other functional areas as needed on appropriate recordkeeping procedures, records retention, and administration of legal holds.
  • Support drafting and employee training around corporate policies and procedures, as needed.
  • Assist with management of legal budgeting, forecasting, and budget variance analysis and collaborate closely with the Finance team on budgeting and reporting.
  • Work collaboratively with legal team members to identify areas of improvement for legal workflows and processes (e.g., development of comprehensive contracting playbooks, templates, toolkits, training materials, etc.) and propose and implement solutions.
  • Lead or support additional legal team projects as needed; perform other related duties as assigned by management.

  • Bachelor's Degree with 5+ years of hands-on experience working in a corporate legal function, with emphasis on corporate governance and public company reporting requirements.
  • Prior experience in industrial manufacturing industry a plus.
  • Prior experience working with Board of Directors related matters and electronic Board portals.
  • Prior experience with SEC filings and knowledge and understanding of corporate laws and federal/state securities laws and regulations.
  • A broad knowledge of corporate secretary practices.
  • Experience in managing, reviewing, and understanding commercial contracts and contract management systems, with an interest in further developing negotiation skillset.
  • Prior experience with systems and procedures related to patents and trademark protection a plus.
  • Excellent written and verbal communication skills; ability to deliver information in a clear, concise and solution-oriented manner.
  • Strong management skills and the ability to motivate and work with and through others to achieve desired results.
  • Strong interpersonal skills and ability build relationships and collaborate across the company and with external stakeholders to produce tangible results.
  • High integrity and strong work ethic. Experience dealing with highly confidential information with professionalism and absolute discretion.
  • Familiarity with advanced legal concepts and terminology, format of legal documents, and legal research and writing.
  • Excellent planning and organizational skills and ability to manage and drive projects and tasks with high attention to detail.
  • Exposure to and facility with a broad array of legal responsibilities and challenges; an ability to articulate complex technical/legal analysis and arguments orally and in writing.
  • A flexible, proactive, and strategic approach to problem solving.

Expected Compensation: Between $130,000 and $151,000 USD/year based on experience. Yearly bonus eligibility.
