Associate, CLO Structuring – (job location is New York, NY; employer is Nomura Securities International, Inc.) – Coordinate issuers, rating agency, trustee, in-house lawyers, counsels and asset managers to ensure a successful CLO capital formation. Analyze credit quality and characteristics of loan pools. Use rating agency software (Moody’s, S&P and Fitch) to conduct stress tests on CLO debt ratings. Optimize CLO equity cashflow profiles and prepare debt marketing materials. Draft financing risk committee memos and obtain internal warehouse opening approvals. Run CLO warehouse net carry and equity return based on different variables and assumptions. Perform ad-hoc investment analyses and distribute CLO market updates to the sales team. Prepare marketing presentations, term sheets, and rating agency analytical files. Monitor deal closing process, including requesting security identifiers, setting up Bloomberg, creating Intex, filling in the blanks and brackets, producing flow of funds file, and sending offering circulars. Review deal documentation, examine bond covenants and negotiate terms with investors. Requirements: Bachelor’s Degree in Economics, Quantitative Sciences, or Finance, plus two years of experience in the position offered or as an Analyst in investment banking. All of the required experience must have included developing bespoke solutions including BSL CLO warehouse financing solutions and BSL CLO structuring; using knowledge of corporate CDO and CLO rating agency criteria, bond indenture and offering circular, legal terms and bond covenants; calculating bond par subs, overcollateralization ratio, market value overcollateralization, net asset value, weighted average life, yield, discount margin, modified duration and spread duration; reviewing CLO legal documents, including CLO payment date report, financing/reset distribution report, CLO monthly report, new issue report and pre-sale report; and using structured finance software (Intex DealMaker and Intex Calc) and rating agency software (S&P Cashflow Evaluator, Moody’s CDO Edge, Fitch PCM).
