Brief Summary of Job Duties

Performs with a high degree of independence, analyzing complex contract structure, policies, procedures, and practices. Develops, drafts, reviews, negotiates all types of business agreements and contracts for the University. Delegated authority and autonomy to act on behalf of the Regents of the University of California in negotiations between UCSB and private/industrial/governmental agencies and companies. Requires expert knowledge of University policies regarding materiel and risk management, as well as Public Contract Codes, Federal procurement regulations, and the Uniform Commercial Code. Requires self-motivation with the ability to work proactively and positively in an organization experiencing significant change while maintaining a high level of service. Demonstrates exceptional inter-personal and communication skills to provide customer service in a fast-paced, high-volume dynamic and intellectually challenging work environment. Performs with prioritizing diverse projects and exceptional time management. #LI-KA1

Required Qualifications

  • Bachelor's degree or equivalent combination of education and experience is required.
  • Significant experience negotiating and drafting contracts.
  • Requires excellent communication, interpersonal, and analytical skills, strong organizational and training skills, and the ability to handle multiple tasks under pressure of deadlines and frequent interruptions.
  • Must be detail-oriented with a high degree of accuracy, and demonstrate good judgment, assertiveness balanced with diplomacy, and discretion regarding confidential matters.
  • Excellent written skills including the ability to construct grammatically correct, concise and accurate legal documents.
  • Must have excellent customer-service skills, ability to work in a team environment, and to foster cooperation.

Preferred Qualifications

  • UC Experience and/or institute of higher learning or government.
  • Juris Doctorate degree

Job Functions/Percentage of Time/Duties

  • 85% Contract Negotiation and Review - Responsible for highly complex Agreements; negotiates, reviews, analyzes and executes all business contracts, personal and professional service agreements, real estate leases, easements, right of way agreements, consulting and commercial agreements. Develops master agreement templates. Is a trusted strategic partner with University business and academic units to provide practical advice on Agreements. Analyzes complex contracts in an objective manner, and derives logical conclusions to provide a sound basis for establishment of priorities, selection of appropriate courses of action for pursuit or recommendations to others, and resolve conflicts and make timely and high quality decisions. Identifies potential adverse implications in contracts, even when ambiguous or hidden. Ensures contracts meet applicable standards and comply with relevant laws, rules, governmental entities and various agencies, including cost/price analysis, source selection, and price reasonableness. Reviews all agreements for financial terms, usage restrictions, intellectual property rights, form, insurance, liability and indemnification requirements. Advises faculty, administrators, staff, colleagues, and the public on University policies and procedures relating to contract development and negotiation. Recommends ways to reduce exposure to the University. Consults with Campus Counsel, other UC campuses, and Risk Management as needed. Provides functional advice, training, and/or guidance to less-experienced Contract Analysts and Buyers regarding resolution of Law and Policy compliance. Identifies problematic contract provisions and formulates alternatives to affect resolution, and selects alternative resolutions having evaluated risk benefit. Interprets the varying objectives and needs of the University, University personnel, and outside parties to provide dynamic customer service. Works with suppliers, customers, colleagues, and representatives of industry or government on the negotiation of agreements for mutual resolution. Acts as a liaison and/or represents the University as a Subject Matter Expert for campus contract litigation. Organizes, writes, and executes formal solicitation/contract documents for procurements that are often complex and of high dollar value in accordance with State and Federal Laws and UC Policy. Leads pre-bid/proposal and contract conferences. Promotes understanding of UC negotiated Agreements to optimize utilization and reduce cost. Demonstrates sound decision making and judgment in execution of duties. Keeps accurate record keeping in compliance with Procurement quality protocols, to ensure transactions are documented from origination through completion.
  • 10% Process Improvement Analysis - Reviews and analyzes department data and University or Industry best practices to assist with improving the campus contracts process. Participates in efforts to develop and maintain policies and procedures for the operation of Procurement activities and investigates continuous improvement opportunities. Responsible for continuously monitoring federal, state and University regulations for changes that may impact existing campus policies and procedures. Keeps informed on changing legislation and case law developments affecting overall operations of the University. Recommends changes to such policies and procedures, drafts policy, and assists with implementation. Is a liaison and Representative for UCSB as a Subject Matter Expert for University projects. Recommends actions to the Materiel Manager and Procurement Manager based on thorough data analysis of current procedures.
  • 5% Other - Participates on departmental and campus-wide committees, task forces, work-groups, etc. Occasionally prepares and edits training material. Performs other duties as assigned.
